Terms of Service

These terms govern all web development services provided by CodeJuan Web Services ("Provider", "I", "me") to the client ("Client", "you"). By engaging our services, you agree to these terms.
1. Project Scope & Deliverables
Each project is defined by a written proposal that outlines:
- The specific plan tier and features included
- Number of pages, revision rounds, and timeline
- Content writing scope (if applicable)
- Any add-ons or custom features
Work outside the agreed scope is billed at $95/hour or at published add-on rates, with written client approval required before additional work begins.
2. Domain Ownership
The client always owns their domain name. We offer three options to accommodate all comfort levels:
Option A: Client Self-Purchase
The client creates their own account at a domain registrar (such as Namecheap, Cloudflare, or Porkbun), purchases the domain themselves, and grants DNS access so we can point it to hosting. Best for clients who are tech-comfortable or already have a registrar account.
Option B: Guided Purchase (Most Common)
We join the client on a call or screen-share and walk them through creating an account in their name and email. The domain is purchased with the client's payment method, under the client's name. We are added as a technical contact for DNS management only. This is the recommended approach for most clients.
Option C: Purchase and Transfer
We register the domain on the client's behalf during development. The domain cost is included in the project invoice at cost (no markup). Upon final payment, we transfer the domain to the client's registrar account. Transfer occurs within 7 days of final payment.
3. Hosting Ownership
- For static websites: the repository can be created under the client's account or transferred after project completion.
- For sites with backend services: the client's API and data runs on our managed server during the contract period. If the client discontinues service, we export all data and provide the complete codebase within 14 days.
- For DNS management: the client's domain may be added to our Cloudflare account for performance and security benefits. The domain registrar always remains in the client's name.
- After project completion, the client has full access to all code, data, and hosting credentials.
4. Code & Design Ownership
The client retains full ownership of all website code, design, and content upon final payment. All credentials, accounts, and source code will be transferred or made accessible within 7 days of project completion.
Until final payment is received, the Provider retains ownership of all deliverables. The Provider reserves the right to use project screenshots and descriptions in their portfolio unless the client opts out in writing.
5. Payment Terms
- Deposit: 50% non-refundable deposit is required to schedule the project and begin work.
- Final payment: Remaining 50% is due before the site goes live.
- Invoices: Due within 7 days of issue. Late payments may pause work and delay the launch date.
- Scope changes: Work beyond the agreed scope is billed at $95/hour or at published add-on rates, with written approval required.
- Maintenance: Monthly maintenance invoices are due at the start of each billing period. Cancellation requires 30 days written notice.
6. Revisions
Each plan includes a defined number of revision rounds (1–5 depending on tier). A "revision round" is a single set of consolidated feedback provided by the client. Additional revision rounds beyond the plan's limit are billed at $95/hour.
7. Content Responsibilities
- Basic plan: Client provides all text and images.
- Starter plan: Provider structures and polishes client-provided content (up to 500 words per page, 1 content revision).
- Professional & Premium plans: Provider performs SEO-optimized content rewrite (up to 800 words per page, 2 content revisions per page).
- Full copywriting from scratch is available as an add-on ($150 per page).
8. Maintenance Plans
Every build includes 3 months of maintenance at the matching tier at no additional cost. After the initial 3 months:
- The client may continue at the published monthly rate.
- The client may cancel with 30 days written notice.
- If maintenance lapses, the website remains live but is no longer monitored, updated, or backed up by the Provider.
- Re-activating maintenance after a lapse may require a one-time audit fee ($150) to assess and resolve any issues that accumulated.
9. Timeline & Delays
Estimated timelines assume timely client feedback and content delivery. Delays caused by late client responses may extend the project timeline. The Provider will communicate any timeline changes promptly.
10. Cancellation & Refunds
- The initial 50% deposit is non-refundable, as it covers the reservation of time and initial project setup.
- If the client cancels after work has begun, the client is billed for all work completed at $95/hour, minus the deposit already paid.
- No refunds are issued for completed and delivered work.
11. Limitation of Liability
The Provider's total liability for any claim arising from the services is limited to the total amount paid by the client for the specific project. The Provider is not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption.
12. Amendments
These terms may be updated from time to time. Clients with active projects or maintenance plans will be notified of material changes. The latest version is always available at this URL.
